This Electronic Lab Logs Master Services Agreement (“MSA”) is made between Electronic Lab Logs, Inc., a North Carolina corporation), and the contracting party identified on the Order Form (“Customer”), together referred to as the “Parties” and each individually as a “Party”, as of the date of signature. The Parties will hereby agree to the terms and conditions of the proposed MSA, including any specific services terms, product details and any applicable license and/or subscription terms will be set forth in the Order Form – each of which become binding on the Parties and are incorporated into this MSA upon execution of an Order Form. Each Order Form and/or SOW is governed by and incorporates the following documents in effect as of the effective date of the applicable Order Form, collectively referred to as the “Agreement”, that consists of:
- the Order Form (Quote supplied by your sales representative).
- the MSA.
